Anne is experienced in the formation of business entities, including for profit and nonprofit corporations, partnerships, joint ventures, limited liability companies, and professional corporations or companies . Her experience includes the preparation and negotiation of bylaws and shareholder agreements, and partnership, joint venture and operating agreements.
Anne has represented large and small businesses in a broad range of business transactions including the purchase and sale of businesses representing both buyers and sellers, corporate mergers and reorganizations, contracts with significant vendor relationships, and management and service agreements.
Anne represents businesses as borrowers in private debt financing matters including asset-based lending, project and equipment finance, capital lease financing, and real-estate lending. She has experience reviewing and negotiating on behalf of business clients ISDAs and related derivative transaction documents. She also has extensive knowledge of tax-exempt bond issuance transactions, and has represented issuers, borrowers and trustees in such financings.
Anne has extensive experience representing franchisors and franchisees in connection with federal and various state franchising and business opportunity law matters. She represents franchisors in connection with structuring their franchise systems, compliance with franchise and business opportunity laws, drafting and updating FTC Rule disclosure documents as well as drafting and negotiating franchise and related agreements. Anne has also represented franchisees in connection with their review and negotiation of franchise and related agreements proposed by franchisors, and in connection with their compliance with the obligations in such agreements.
Anne's representation of business clients includes providing guidance regarding the availability and registrability of proposed marks or logos for a client's products or services, as well as assistance with trademark registrations and portfolio management. She has also prepared and negotiated various agreements involving clients' intellectual property, including trademark licensing agreements, supplier and distributor agreements, and software licenses.
